Our Role
Bizconnekt is built to simplify and streamline business operations for growing companies. While users remain responsible for final decisions and regulatory compliance, the platform is designed to reduce manual effort, improve accuracy, and provide operational clarity across finance, procurement, inventory, and sales. These Terms govern your use of the Service and reflect our shared commitment to a fair and transparent business relationship.

- Your Data: You own all data you upload. We process it only to provide the Service.
- Liability Cap: Our maximum liability is limited to fees paid in the 12 months preceding the claim.
- Refunds: Subscription fees are non-refundable. Cancel with 30 days' notice; export your data within 90 days after closure.
- Computational Tools: GST and financial calculations are tools — not professional advice. Always verify with qualified professionals.
- Disputes: Resolved through a 3-step process: internal resolution → mediation → binding arbitration (Delhi).
1. Introduction and Acceptance
Welcome to Bizconnekt — a business automation and ERP platform operated by Nexowave Technology Solutions Private Limited ("Company", "we", "us", or "our"). By accessing, registering for, or using any part of our platform, you ("User", "you", or "your") enter into a legally binding agreement with Nexowave Technology Solutions Private Limited.
This agreement consists of these Terms of Service, our Privacy Policy (incorporated by reference), and any additional terms specific to your usage. If you disagree with any part of these Terms, you may not access the Service.
Electronic Agreement Validity: This agreement is formed electronically and is legally valid under the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023. Your electronic acceptance constitutes your digital signature and binding commitment to these Terms.
User Authority: By accepting these Terms, you represent and warrant that you are at least 18 years of age, have the legal authority to enter into this agreement, and — if representing a business entity — are authorized to bind that entity. All information provided during registration is accurate and complete.
2. Platform Services
Bizconnekt provides a business automation platform including:
- Financial Management: Accounting, invoicing, payment processing, GST compliance
- Supply Chain Management: Purchase orders, inventory tracking, supplier management
- Sales Operations: Customer management, quotations, order processing
- Business Intelligence: Analytics, reporting, performance insights
- Compliance Services: Regulatory reporting, audit trails, tax calculations
- Communication Tools: Email integration with Google Gmail and Microsoft Outlook
The platform operates on a secure multi-tenant architecture. Each registered organization constitutes a separate Tenant with complete data isolation. Business Units within organizations maintain separate operational spaces.
3. User Accounts and Registration
Registration: To access platform features, you must register and provide accurate information including a valid email address, contact number, and business details. You agree to keep all account information accurate and current.
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify us immediately at discover@bizconnekt.com of any unauthorized account access.
Account Verification: We reserve the right to verify business registration details through official channels, request additional documentation, and suspend accounts pending verification completion. Accounts that fail verification may be terminated.
Business Use: The Service is intended for use by businesses and organizations. You agree to use the Service only for legitimate business purposes and in compliance with all applicable laws.
4. Account Administration
The Customer (the subscribing organization) is responsible for managing User access, permissions, and roles within the Service. The Customer must ensure that all Users comply with these Terms and is responsible for maintaining the confidentiality of administrator credentials.
All activities that occur under a Customer account — including those of its Users — are the responsibility of the Customer.
5. User Obligations and Acceptable Use
In short: Don't use Bizconnekt for illegal purposes, to harm others, or to attempt unauthorized access. You are responsible for all activity under your account.
5.1 Usage Standards
You agree to use the platform in accordance with all applicable local, state, and national laws, these Terms, and generally accepted business practices.
5.2 Data Accuracy
You are responsible for the accuracy, legality, and appropriateness of all data you upload, enter, or process through the Service. The Company does not verify user-submitted data and accepts no liability for losses arising from inaccurate, incomplete, or unlawful data submitted by you.
5.3 Prohibited Activities
You may not use the Service to:
- Engage in any unlawful activity or facilitate illegal transactions.
- Share false, misleading, or fraudulent business information.
- Infringe upon intellectual property rights of the platform or other users.
- Harass, abuse, defame, intimidate, or discriminate against any person based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
- Upload or transmit viruses, malware, or any other malicious code.
- Attempt to gain unauthorized access to other users' data or platform systems.
- Conduct unauthorized security testing, vulnerability scanning, or penetration testing.
- Interfere with platform security measures or other users' access.
- Engage in spam, unsolicited communications, phishing, or impersonation attacks.
- Manipulate platform features or metrics in unauthorized ways.
- Violate any applicable law or regulation.
5.4 Security Obligations
You are responsible for:
- Maintaining strong passwords and enabling available security features.
- Properly managing user access and permissions within your organization.
- Monitoring your account for suspicious activity and reporting it within 24 hours.
- Keeping your systems and browsers updated with the latest security patches.
- Maintaining independent backups of critical business data.
- Reporting any suspected data breaches or security incidents to us immediately and cooperating fully with incident investigations.
- Complying with applicable data protection regulations in your use of the platform.
6. Intellectual Property Rights
Platform IP: All platform software, features, and content (excluding user-generated content) are owned by Nexowave Technology Solutions Private Limited and protected by copyright, patent, trademark, and trade secret laws. The Bizconnekt brand and related marks are protected trademarks.
License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your legitimate business purposes, subject to these Terms. This license does not include resale, sublicensing, or reverse engineering of the platform.
Your Data: You retain full ownership of all business data, documents, and information you input into the platform. We do not claim ownership over Customer Data.
Platform Improvement: You grant us the right to use aggregated, anonymized usage data to improve platform functionality, develop new features, and enhance security and performance. This does not involve access to your identifiable business data.
7. User Content
You are responsible for all content you contribute to the Service, including its legality, reliability, and appropriateness. By submitting content to the Service, you grant us a limited, non-exclusive license to use, process, and store that content solely for the purpose of providing the Service to you.
You represent that you have all necessary rights to submit content you provide, and that such content does not infringe any third-party rights or violate applicable law.
8. Third-Party Services and Integrations
We may employ third-party service providers to facilitate the Service. One such partner is S4Sourcing India Private Limited, which handles the marketing and sales of Bizconnekt in the global market.
Our Service may integrate with third-party services such as Google Gmail and Microsoft Outlook to enable communication features. By connecting such services, you authorize us to access and process data from those services solely to provide the features you have enabled, in accordance with our Privacy Policy. We do not use data obtained from third-party integrations for advertising, profiling, or any purpose unrelated to the features you have explicitly enabled. You agree to use integrated third-party services in compliance with their respective terms of service.
9. Technology Disclaimer
In short: GST calculations, financial reports, and analytics are computational tools — not professional accounting or legal advice. Always verify with qualified professionals before acting on platform outputs.
Computational Tools Only: All platform features — including GST calculations, financial reporting, tax computations, inventory valuations, and performance analytics — are computational tools designed to assist business operations. They do not constitute professional accounting, legal, tax, or business advice and require independent verification.
Users must:
- Verify all GST and tax calculations with qualified tax professionals.
- Verify all financial reports with qualified accounting professionals before business use.
- Verify all legal compliance requirements with qualified legal professionals.
- Make independent business judgments — system outputs are suggestions that require human review and do not account for all business context or market conditions.
What the Platform Provides: Technology infrastructure for business process automation, data processing and reporting tools, integration services with authorized service providers, and user training on platform functionality.
What the Platform Does Not Provide: Professional accounting, auditing, or tax services; legal advice or regulatory compliance consulting; business strategy or management consulting; financial planning or investment advice; or any industry-specific professional guidance. Users must engage qualified professionals for all such needs.
10. Service Levels and Availability
10.1 Uptime Target
We target a 99.5% monthly uptime for the platform, on a best-effort basis. Uptime is calculated as the total number of minutes in a calendar month minus downtime, divided by the total minutes in that month, excluding scheduled maintenance.
10.2 Downtime Definition
Downtime refers to periods when the platform is unavailable or materially degraded for all users. The following are excluded from downtime calculations:
- Scheduled maintenance windows (with reasonable advance notice).
- Force majeure events beyond our reasonable control.
- Third-party service outages outside our control.
- User-caused issues including network connectivity problems on the Customer's side.
10.3 Scheduled Maintenance
Scheduled maintenance will typically be conducted during off-peak hours (nights or weekends, IST). We will provide advance notice where feasible. Emergency maintenance required to maintain security or stability may be performed without prior notice.
10.4 Data Backup
We perform daily automated backups of critical application data. Backups are encrypted, stored with redundancy, retained for up to 30 days, and periodically tested for recoverability. We aim to restore critical services and data within commercially reasonable timeframes depending on the severity of the incident.
10.5 Service Credits
If monthly uptime falls below the 99.5% target due to causes within our control, Customers may be eligible for service credits as defined in a separate Service Level Agreement (SLA). Service credits are the Customer's sole and exclusive remedy for uptime failures.
10.6 Enterprise SLA and DPA
Enterprise customers may enter into a separate Service Level Agreement (SLA) and/or Data Processing Agreement (DPA) with Nexowave Technology Solutions Private Limited. Contact legal@bizconnekt.com to request these agreements.
11. Payment Terms and Billing
In short: Fees are billed in advance and are non-refundable. Cancel with 30 days' notice. After cancellation, you have 90 days to export your data. Billing disputes must be raised within 60 days.
11.1 Pricing and Billing
Bizconnekt offers freemium access with usage limitations and tiered paid subscriptions with progressive feature access. Subscription fees are billed in advance on a monthly or annual cycle as selected during subscription. All charges include applicable GST and detailed invoices are provided for all charges.
11.2 Payment Terms
Payment is due immediately upon invoice generation. A 15-day grace period applies before service restrictions are imposed. A late fee of 2% per month applies on overdue amounts after the grace period. Services may be suspended after 30 days of non-payment, and a reconnection fee may apply after suspension.
11.3 Refunds and Cancellation
Subscription fees are generally non-refundable unless otherwise stated in writing by the Company. A 30-day cancellation notice is required for subscription cancellations; cancellation takes effect at the end of the current billing period. Upon account closure, you will have a 90-day window to export your data before it is purged.
The Company reserves the right to modify pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
11.4 Billing Disputes
Billing disputes must be raised within 60 days of the invoice date by contacting us at discover@bizconnekt.com. We will investigate all disputes thoroughly and resolve them within 30 days of receiving complete information. Validated disputes will result in appropriate credits or refunds.
12. Privacy and Data Protection
In short: You own your data. We retain business transaction records for 7 years as required by GST law. You have 90 days to export your data after account closure.
Our comprehensive Privacy Policy is incorporated by reference and governs the collection, processing, and protection of personal and business data, data subject rights under the Digital Personal Data Protection Act, 2023, and all data security measures.
Data Retention: Business transaction data is retained for 7 years as required under GST and tax regulations. Personal data is retained only as long as necessary for service provision or legal obligations. You may request deletion of personal data subject to applicable legal retention requirements via our Data Deletion Request page.
Security: We have implemented reasonable safeguards including industry-standard encryption, access controls, security monitoring, regular security audits, and incident response procedures. In the event of a security incident, we will notify affected users and take appropriate remediation steps in accordance with applicable law.
13. Termination and Suspension
User Termination: You may terminate your account at any time with 30 days' written notice to discover@bizconnekt.com.
Company Termination: We may terminate or suspend accounts immediately for material breach of these Terms, non-payment, security threats, fraud, legal requirements, or regulatory compliance needs.
Suspension: We may suspend (rather than terminate) services for non-payment beyond the grace period, pending cure of a breach, security incidents requiring protective measures, or scheduled technical maintenance.
Upon Termination: All platform access terminates. You will have a 90-day window to export your data. All outstanding fees remain due. Business transaction data is retained per legal requirements (see Section 12).
Surviving Provisions: Payment obligations, intellectual property rights, indemnification obligations, data retention requirements, dispute resolution procedures, and governing law provisions survive termination.
14. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted, timely, secure, or error-free operation. We may remove or suspend the Service for maintenance or other reasons at any time.
15. Limitation of Liability
In short: Our total liability is capped at 12 months of fees paid. We are not liable for indirect, consequential, or punitive damages. This does not apply to fraud, negligence causing personal injury, or DPDP data protection failures.
To the maximum extent permitted by applicable law, Nexowave Technology Solutions Private Limited and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of or inability to use the Service.
Our total cumulative liability to you for any claims under these Terms is limited to the total fees you paid to us in the 12 months preceding the incident giving rise to the claim.
Exceptions: These limitations do not apply to: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; violations of data protection laws resulting from our failure to implement reasonable safeguards; or intentional misconduct or wilful violations of law.
Force Majeure: We are not liable for failures or delays due to circumstances beyond our reasonable control, including natural disasters, epidemics, government actions, internet or telecommunications failures, third-party service provider failures, or cyber attacks despite our security safeguards. We will acknowledge confirmed security incidents within 72 hours, provide an initial impact assessment, and make best efforts for service restoration.
16. Indemnification
User Indemnification: You agree to indemnify, defend, and hold harmless Nexowave Technology Solutions Private Limited from claims arising from: your use of the platform in violation of these Terms; inaccuracy or falsity of information you provide; your violation of applicable laws or regulations; infringement of third-party intellectual property rights; business decisions made using platform data or reports; GST, tax, or regulatory compliance failures related to your platform usage; or data breaches or security incidents caused by your actions, negligence, or failure to follow security procedures.
Company Indemnification: We will indemnify you for valid third-party claims that our platform infringes intellectual property rights, provided you give us prompt written notice, allow us to control the defense, and cooperate reasonably.
Process: The indemnifying party must receive prompt written notice of any claim and may control the defense with qualified counsel. No settlement may be made without the written consent of the indemnified party.
17. Dispute Resolution
In short: Most issues resolve directly with us. Formal disputes follow a 3-step process: internal review (0–15 days) → online mediation capped at ₹10,000 → binding arbitration through the Delhi International Arbitration Centre.
Disputes shall be resolved through the following graduated process:
- Internal Resolution (0–15 days): Contact our support team at discover@bizconnekt.com. Routine technical and billing issues are handled internally at no additional cost.
- Mediation (16–45 days): If unresolved, the parties may pursue online mediation through a mutually agreed cost-effective platform. Mediation costs are capped at ₹10,000 per dispute, split equally between the parties.
- Arbitration (46+ days): Unresolved disputes shall be submitted to binding arbitration through the Delhi International Arbitration Centre. Arbitration costs are capped at ₹50,000 for disputes under ₹5,00,000. Fast-track arbitration applies for disputes under ₹1,00,000. Proceedings shall be conducted in English.
Each party bears its own costs and attorney fees unless a claim is found to be frivolous or in bad faith, in which case costs may be awarded against the offending party.
18. Regulatory Compliance
Platform Compliance: We maintain compliance with the Digital Personal Data Protection Act, 2023, GST and tax reporting requirements, and other applicable Indian regulations. We will make commercially reasonable efforts to adapt to future regulatory changes.
User Compliance: Users are responsible for their own compliance with applicable regulations, including GST filings, tax obligations, and industry-specific requirements. Platform tools provide computational assistance but do not constitute compliance services. Users must engage qualified professionals for compliance verification.
Platform may modify terms or functionality to maintain regulatory compliance. Users must adapt their usage to comply with evolving regulatory requirements.
19. Governing Law and Jurisdiction
This agreement is governed by the laws of India, specifically including the Indian Contract Act, 1872; Information Technology Act, 2000; Digital Personal Data Protection Act, 2023; Goods and Services Tax Act, 2017; and Consumer Protection Act, 2019.
Subject to the dispute resolution procedures in Section 17, all legal proceedings shall be conducted in the Delhi High Court, New Delhi, India.
20. General Provisions
Changes to Terms: We reserve the right to modify these Terms at any time with 30 days' notice to users. Continued use of the platform after the effective date of changes constitutes acceptance of the modified Terms.
Severability: If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
Entire Agreement: This agreement, together with the Privacy Policy and other incorporated documents, constitutes the entire agreement between you and Nexowave Technology Solutions Private Limited regarding the Service and supersedes all prior agreements.
21. Definitions
- "Customer" — the organization or legal entity that subscribes to and administers the Service.
- "User" — an individual authorized by the Customer to access and use the Service on the Customer's behalf.
- "Customer Data" — all data submitted to the Service by or on behalf of the Customer, including data entered by Users.
- "Computational Tools" — all automated features including GST calculations, financial reporting, and analytics that provide computational assistance but do not constitute professional advice.
- "Professional Services" — accounting, legal, tax, consulting, or other advice requiring professional licensure or specialized expertise. The platform does not provide Professional Services.
